1. Acceptance & eligibility
By accessing or using THAIMOST (the “Platform”), creating an account, or submitting any listing, RFQ, quote or order, you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy. If you do not agree, do not use the Platform. You represent that you are at least 18 years old, are using the Platform for business/commercial purposes, and have authority to bind the company you act for.
2. Definitions
- “THAIMOST”, “we”, “us” — 7CENTER HOLDING, the company that operates the Platform.
- “User” — any buyer, supplier or visitor using the Platform.
- “Supplier” — a business listing products or services.
- “Buyer” — a business sourcing products or services.
- “Content” — listings, images, text, documents, messages and any data submitted to the Platform.
- “Transaction” — any inquiry, quote, sample, order, contract or payment between a Buyer and a Supplier.
3. The platform & our role
THAIMOST is an online B2B marketplace that helps Suppliers and Buyers discover each other, exchange requests for quotation (RFQs) and quotes, request samples, coordinate orders and communicate. THAIMOST is an intermediary venue only. We are not a buyer, seller, manufacturer, broker, freight forwarder, importer/exporter of record, or agent of any User, and we are not a party to any Transaction between Users. During the current phase, THAIMOST does not process payments, hold funds, or act as escrow — pricing, contracts, payment, shipping and delivery are negotiated and settled directly between Buyer and Supplier, at their own risk.
4. Accounts & registration
You must provide accurate, current and complete information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorised use. We may refuse, suspend or reclaim any account or username at our discretion.
5. Supplier terms & verification
Suppliers are solely responsible for their listings, prices, MOQ, stated certifications, capabilities, and the products/services they offer, and for complying with all laws applicable to those products (including safety, labelling, licensing and IP). Verification (“Verified”, factory-audited, certificate checks) is an identity and document check to reduce risk; it is not a guarantee, warranty, endorsement or certification by THAIMOST of any Supplier, product, quality, safety, legality, or transaction outcome. Trading companies must not misrepresent themselves as manufacturers.
6. Buyer terms & due diligence
Buyers are responsible for evaluating Suppliers, products, samples, specifications, certifications, pricing and terms before committing to any Transaction, and for compliance with import laws in their destination market. You should conduct your own due diligence and not rely solely on information displayed on the Platform.
7. Listings & user content
You retain ownership of your Content but grant THAIMOST a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute it for operating, promoting and improving the Platform. You represent that you have the rights to your Content and that it is accurate and lawful. We may review, label, moderate, or remove Content, and may rank or feature Content, at our discretion. We are not obliged to monitor Content and are not responsible for User Content.
8. RFQs, quotes, samples & orders
RFQs, quotes, sample requests and order coordination are tools to facilitate communication. Any resulting agreement is a direct contract between Buyer and Supplier. THAIMOST is not responsible for the performance, quality, delivery, payment, or any dispute arising from a Transaction. Users are responsible for the terms (price, Incoterms, payment, lead time, warranties) they agree.
9. Fees, membership & advertising
Listing is currently free and we do not charge commission during the launch phase; this is promotional and may change with prior notice. Paid memberships, boosts, advertising and value-added services are subject to their own descriptions and any insertion order. Advertisers are responsible for the accuracy and legality of their ads; placement is not an endorsement. Reported metrics (e.g., impressions/clicks) are estimates for guidance only. Fees, where charged, are exclusive of taxes unless stated.
10. Prohibited conduct
- False, misleading, fraudulent or infringing listings, certificates, reviews or company information.
- Spam, scraping, reverse engineering, or bypassing Platform safety, fees or rate limits.
- Circumventing the Platform to defraud another User, or off-platform conduct that harms Users or THAIMOST.
- Uploading malware, unlawful, infringing, hateful or harmful material.
- Dealing in prohibited, counterfeit, illegal or sanctioned goods.
11. Trade, export controls & sanctions
Users are solely responsible for complying with all applicable export, import, customs, tax and sanctions laws. You represent that you are not subject to, and will not transact in violation of, any applicable trade sanctions or embargoes. THAIMOST may decline to facilitate, or remove, any activity that we believe may violate such laws.
12. Intellectual property
The Platform, including its software, design, trademarks and branding, is owned by THAIMOST and protected by law. You may not copy, modify or create derivative works of the Platform except as expressly permitted. If you believe Content infringes your rights, contact legal@thaimost.com with details and we will review and act as appropriate.
13. Third-party services
The Platform may link to or rely on third-party services (e.g., hosting, logistics, auditors, payment tools used off-platform). We are not responsible for third-party services, and your use of them is governed by their own terms.
14. Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we handle personal data in line with Thailand's PDPA and, where applicable, GDPR.
15. Disclaimers
The Platform and all Content are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. THAIMOST does not warrant that listings, Suppliers, products, certifications or Users are genuine, accurate, lawful, safe or suitable, or that the Platform will be uninterrupted or error-free. Verification reduces but does not eliminate risk.
16. Limitation of liability
To the maximum extent permitted by law, THAIMOST and its officers, employees and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill, or for any damages arising out of Transactions or dealings between Users, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Platform shall not exceed the greater of (a) the fees you paid to THAIMOST in the three (3) months before the event giving rise to the claim, or (b) USD 100.
17. Indemnification
You agree to indemnify and hold harmless THAIMOST from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your Content, your use of the Platform, your Transactions, or your breach of these Terms or applicable law.
18. Suspension & termination
We may suspend, restrict or terminate your access, listings, badges or account at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect Users or the Platform. You may stop using the Platform at any time. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity and governing law) will survive.
19. Governing law & disputes
These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes amicably; failing that, disputes shall be submitted to the competent courts located in Bangkok, Thailand, unless mandatory law provides otherwise.
20. Changes to these terms
We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by notice. Continued use after changes take effect constitutes acceptance.
21. General
These Terms, together with the Privacy Policy and any insertion orders, are the entire agreement between you and THAIMOST regarding the Platform. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure).
